If there is a new BIOS for that laptop, I would upgrade to it . . XP does power management differently than Win9X did. And a clean install, versus a upgrade over the top of ME, will result in much less problems in the future.
Here is a good guide to installing XP . . you might want to print it for reference during the install. For a guide specific to you laptop, click on Solutions at the top of this page and navigate to your model and select Upgrade Guide
