Depends on how lazy one is.  If you get the upgrade, after putting in the Vista CD, it will ask you to install the Windows XP cd to verify that you are authorized for the upgrade, than you have to take that out, and put the Vista OS back in and continue with the install.   Retail, you just insert disk, and away you go.   I'm lazy and will wait for the OS to be installed by Dell if possible.  If Dell gives out a great deal on a system, with the upgrade OS, than I might pull the trigger and get it. :smileyvery-happy:

I would never install a completely new OS on top of an old one, ever.  That's like leaving the oil filter on when you chnage the oil in your car.

Best analogy I can think of by leaving pieces of the XP registry in with the Vista registry.

The nice part about "upgrade" versions of the OS is you can still install it as a fresh OS (format etc) without installing the old OS first.  I wouldnt recommend actually upgrading from xp to vista... but buying the "Upgrade" version of Vista is a great money saver if you already have a good XP CD for verification.

Does anyone know (for sure) if the Dell OEM XP Home CD qualifies as a valid XP CD to upgrade to Vista. I asked this question before, but never got a specific answer. I'm concerned because I remember when XP first came out. At the time, I had a HP with the "recovery" CD. It was NOT a valid CD for the upgrade. Is this the way it would be with the Dell CD?

Thanks Spott

Which version are you trying to upgrade to?  It might work for Basic but nothing else.

As far as I am concerned, if I can't upgrade to Home Premium, there's no reason for me to upgrade at all. I'm planning to upgrade to Vista Home Premium one way or the other, but I would hate to pay for the full version, then find out I could have gotten the upgrade version.
It's just strange that nobody (including MS) can answer this question. I guess the reason for this is that most people won't be upgrading at all?

Thanks

Spott
