Code 31 on NIC

I have a persistent problem with my Cnet Pro200WL NIC card.  I'm getting a "Windows cannot load drivers for this device (Code 31)" message.  Plug-n-play recognizes the NIC and acts like it is loading the driver, but when I check in Device Manager, there's an exclamation mark next to the NIC and the properties states the above problem.  I've tried physically removing the NIC and reinstalling it - no help.  I've installed a new NIC from DLINKs and get the same problem.

Any ideas?

Dell tech support suggested I download updated drivers, which I did on a different machine and copied over - no help.

Thanks in advance!

Check out my thread a little ways down called "NIC = Unknown Device"  Some people have had luck with system restore.  That wasn't an option for me and I wound up doing a complete reformat and reinstall of Windows XP
