First install the chipset dirvers for your motherboard.  These should be on the Dell Resource CD, but you can also download them from:

http://support.dell.com/support/downloads/format.aspx?c=us&cs=19&l=en&s=dhs&SystemID=DIM_PNT_P4_4500&os=WW1&osl=en&deviceid=3268&devlib=27&category=27&releaseid=R41334

Once the chipeset drivers are installed, you can install the drivers for the ethernet adapter.  They should aslo be on the Resource CD, but you can also download them form:

Worked great!!!!! I spent hours yesterday working with this and couldn't get it to work. The chipset for the motherboard and the drivers for the ehternet worked perfectly!!! THANK YOU!!!! I'm now connected to the internet and once again have a working computer. Thanks again :)
