Depends on what you do with it. If you just play 'games' (as in games that can run on that kind of computer) or use office utils, it'll work just fine. I used to use WinXP on my old Gateway Solo P2 333 with only 192 megs of ram, and it worked just fine.
Remember, Bill Gates did say, "640k of ram should be good enough for anybody."
Which holds true because the windows system (not the gui) only runs at about 216k. ^^

It will work, but it's going to be slow on a 256M, 400 MHz Celeron.
