First, you must use heatsink compound between the top of the CPU and the bottom of the heatsink/fan assembly.  Clean off the old and put the new on according to the instructions with the heatsink compound.  Most "techies" recommend the "Arctic Ice" brand of heatsink compound. 

In reference to removing the Dell heatsink shrowd assembly, the heatsink compound can harden and act similar to glue in some cases and that can be the reason the assembly doesn't seem to want to move.  Many suggest trying to remove it when the CPU is warm as that will help to release the heatsink compound. I've seen other suggestions about using a hair dryer to heat up the area to help loosen the heatsink compound but I don't recommend that.
