Dell Cloud with 6YS Services
Your Agreements with Dell
Your purchase and use of software, services, and solutions through Dell Cloud with 6YS Services is governed by and subject to the following terms and conditions: 1) the Dell Cloud Solutions Agreement; 2) the applicable Service Description and Supplemental Cloud Partner Terms included herein; and 3) an Order Form for your services. Additional terms and conditions, such as software license agreements or terms of use may be presented in connection with your purchase and use of software, services, or solutions available through Dell Cloud with 6YS Services. Collectively, these agreements comprise your Dell Cloud Services Agreement or your Agreement.
By (i) your signature on an Order Form incorporating this Agreement by reference, or (ii) your confirmation of agreement to the terms and conditions of this Agreement as presented whether online or offline , or (iii) by your use of a Dell Cloud Services, you indicate your agreement to the terms and conditions set forth herein.
1. Dell Cloud Solutions Agreement
The Dell Cloud Solutions Agreement is available here and in hardcopy upon request. You acknowledge having read and agree to be bound by such online terms. Such terms shall be deemed incorporated by reference herein.
2 . Service Description & Supplemental Cloud Partner Terms
In addition, the following services are provided pursuant to the Dell Cloud with 6YS Service Description:
3. Order Form
Order Form means the documents for placing orders hereunder that are entered into between you and Dell, which includes the price, quantity, and duration, if applicable, of subscription service(s). The Order Form may be presented in soft copy, hard copy or online in connection with your selection and purchase of Dell Cloud with 6YS Services.
Supplemental Cloud Partner Terms Applicable to Dell Cloud with 6YS Services
You acknowledge that your use of Dell Cloud with 6YS Services is also subject to supplemental cloud partner terms and conditions, (which are referred to in your Dell Cloud Solutions Agreement), at http://www.6ys.com.au/dell/terms/ (Dell Cloud Partner Terms), and these terms are incorporated by reference in to this Agreement. The Dell Cloud Partner Terms apply solely with respect to your use of Dell Cloud 6YS Services.
If there is a conflict between the Dell Cloud Partner Terms and any of the other documents that comprise the Agreement (Conflicting Terms), the terms of the Dell Cloud Partner Terms (Prevailing Terms) will take precedence over the Conflicting Terms solely with respect to your use of Dell Cloud with 6YS Services. Moreover, the Prevailing Terms will be construed as narrowly as possible to resolve the conflict while preserving as much of the Agreement as possible, including, but not limited to preserving non-conflicting provisions contained within the same paragraph, section, or sub-section as the Conflicting Terms.
Dell Cloud with 6YS Services is further subject to the 6YS Service Level Agreement as set forth in http://www.6ys.com.au/dell/sla/ and 6Ys Support Services Policy at http://www.6ys.com.au/dell/support/.

Your Agreements with Dell

- Dell Cloud with 6Ys Services which are more fully described at http://www.6ys.com.au/dell/services/ and subject to the Supplemental Cloud Partner Terms referred to below.
3. Order Form

You acknowledge that your use of Dell Cloud with 6YS Services is also subject to supplemental cloud partner terms and conditions, (which are referred to in your Dell Cloud Solutions Agreement), at http://www.6ys.com.au/dell/terms/ (Dell Cloud Partner Terms), and these terms are incorporated by reference in to this Agreement. The Dell Cloud Partner Terms apply solely with respect to your use of Dell Cloud 6YS Services.
If there is a conflict between the Dell Cloud Partner Terms and any of the other documents that comprise the Agreement (Conflicting Terms), the terms of the Dell Cloud Partner Terms (Prevailing Terms) will take precedence over the Conflicting Terms solely with respect to your use of Dell Cloud with 6YS Services.
