Agreement to Official Rules: By entering the Dell CSG Client Peripherals pNPS Sweepstakes (the “Sweepstakes”) Entrant hereby fully and unconditionally agrees to these official rules (the “Official Rules”) and Sponsor's and Bazaarvoice (“Administrator”) decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. Any violation of these Official Rules will result in disqualification.

1. SWEEPSTAKES PERIOD AND TERRITORY
The Sweepstakes starts on August 26, 2023 at 7:00:00 a.m. Central Time (“CT”) and will run once quarterly for two-week periods as listed in Section 3 (Timing) below. The Sweepstakes will end on November 16, 2024 at 11:59PM CT. Please see world clock for time zone conversion information. The Sweepstakes is being administered in the United States and is open to individuals from the nations listed in Section 2 (Eligibility).


2. ELIGIBILITY
All participants must (a) be at least 18 years of age or older or the age of majority in their jurisdiction of residence, whichever is older, (residents of Alabama or Nebraska must be at least 19 years old; residents of Mississippi must be at least 21 years old), at the time of entry; (b) possess a valid form of identification; and, (c) be a legal resident of: one of the 50 United States or the District of Columbia, China, Mexico, New Zealand, or Canada (excluding the Province of Quebec). All applicable federal, national, state, provincial and local laws and regulations apply. VOID IN ALL JURISDICTIONS WHERE PROHIBITED BY LAW OR REGULATION, AND JURISDICTIONS WITH LAWS THAT WOULD REQUIRE REGISTRATION, TRUST ACCOUNT, AND/OR POSTING OF A BOND, OR ANY OTHER REQUIREMENTS THAT HAVE NOT BEEN SATISFIED, OR RESTRICTED OR TAXED BY LAW (“Excluded Territory”). Residents of an Excluded Territory are not eligible. Employees and representatives of Dell Inc., its subsidiaries, Bazaarvoice and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. Government employees including all federal, state, county, city or municipal government employees, state funded universities and colleges, all types of public officials including elected officials, private individual or firms where the Government has outsourced Government functions, and K-12 employees are not eligible. Employees of the City of New York are not eligible.

NOTICE TO HEALTHCARE EMPLOYEES: If You are employed in the healthcare industry, prior to awarding any prizes you will be required to obtain certification that acceptance of the sweepstakes prize is permitted in accordance with applicable law and ethics policies of Your employer.


3. TIMING
The Sweepstakes will run for periods as specified below (the “Entry Periods”).
Entry Period 1: August 24, 2024 at 7:00AM CT – September 7, 2024 at 11:59PM CT
Entry Period 2: November 2, 2024 at 7:00AM CT to November 16, 2024 at 11:59PM CT


4. HOW TO ENTER
NO PURCHASE NECESSARY. Entrant must complete the Product NPS Survey sent to their email address on file to be entered into the Sweepstakes.

Limit: One (1) entry for each Entry Period.

YOUR REPRESENTATIONS: By submitting an Entry, You affirmatively represent that You have read and agree to these Official Rules. In addition, by submitting an Entry, You represent that (a) the Entry is original, (b) You are the sole creator of the Entry, (c) the Entry does not violate any local, state, national or foreign laws, and (d) You agree that You are in compliance with all of Your employers’ rules, policies, and procedures that relate to accepting prizes.


5. GRAND PRIZE DRAWING
Sponsor’s decisions as to the administration and operation of the Sweepstakes and the selection of the potential winners are final and binding in all matters related to the Sweepstakes. On or after each quarterly survey period closing date, Administrator will conduct a random drawing to select one (1) potential Sweepstakes winner from all eligible entries received during each Entry Period. The potential winners will be notified by email. Prizes will be fulfilled 8 – 10 weeks after conclusion of the Entry Period.


6. WINNER REQUIREMENTS
Entrants selected as potential winners (“Potential Winners”) are subject to verification of eligibility and compliance with these Official Rules. The Administrator will attempt to notify each Potential Winner via email, mail or phone within approximately 2 weeks after Entry Period ends.

In order to be declared a winner, each Potential Winner may be required:

(i) complete and return to Administrator (or its authorized agent), by the deadline specified in the winner notification, a written affidavit of eligibility (or declaration and release) and publicity release form (collectively, the “Release”), releasing the Administrator from any liability in connection with this Sweepstakes or the acceptance, possession, use or misuse of any Prize to the fullest extent permitted by the laws of each Potential Winner’s jurisdiction of residence;
(ii) If entrant is selected as a Potential Winner of a Prize valued at or above $600 USD (or other amount as might be provided by the law of the jurisdiction in which the Potential Winner resides), complete all tax documentation as may be required by the law of the jurisdiction in which the Potential Winner resides (“Tax Documentation”), if any;

If a potential winner cannot be contacted, fails to sign and return the Release, any required Tax Documentation within the required time period (if applicable), does not comply with these Official Rules, or prize is returned as undeliverable, potential winner forfeits the prize. If a potential winner is disqualified for any reason as set forth in these rules, the prize may be awarded to a runner-up determined in Sponsor's sole discretion. Only three (3) alternate winners may be determined, after which the applicable prize will remain un-awarded. Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, country, likeness, Submission and/or prize information in connection with the Sweepstakes for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law. Each winner will indemnify Sponsor, Released Parties (as defined in Section 9, below) and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.

ANSWERING A MATHMATICAL SKILLS QUESTION: If a potential winner is a resident of Canada or New Zealand then as a condition of receiving a Prize, the selected potential winner will be required to correctly answer a four-part mathematical skill-testing question, posed [verbally by telephone or in writing within the Declaration and Release Form] in order to be deemed a winner. The question must be answered within five minutes, and without the benefit of any assistance (including without limitation, any calculation devices).


7. PRIZES
The prize available to be won in the Sweepstakes and the Approximate Retail Value (“ARV”) of each prize shall be one (1) Dell XPS 15” Notebook per Entry Period. Approximate Retail Value (“ARV”) of the prize is: $2,800 USD. The actual value of electronic prizes is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed.

Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Prizes not manufactured or sold by Dell will be awarded without warranty of any kind, express or implied, without limitation. Prizes awarded will not in any way influence any decision in doing business with Dell. Prize was not given in connection with or related to any sale or Consumer transaction or promise related thereto. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Limit: One (1) prize per person/household. Total ARV of all prizes: $11,200 USD.


8. ODDS OF WINNING
The odds of winning a Prize depends on the number of eligible entries received during each Entry Period.


9. LIMITATIONS OF LIABILITY & RELEASES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANTS AGREE THAT ADMINISTRATOR AND SPONSOR, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) HAVE NO LIABILITY WHATSOEVER FOR, AND ENTRANTS SHALL HOLD THE RELEASED PARTIES HARMLESS AGAINST, ANY LIABILITY FOR ANY INJURIES, CLAIMS, LOSSES, DAMAGES, COSTS OR EXPENSES OF ANY KIND (INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES) TO PERSONS OR PROPERTY RESULTING FROM (A) ENTRY OR PARTICIPATION IN THIS SWEEPSTAKES, INCLUDING ACCESS TO AND USE OF THE SWEEPSTAKES WEBSITES, (B) ANY CLAIMS BASED ON PERSONALITY OR PRIVACY RIGHTS, DEFAMATION OR PRIZE DELIVERY, OR (C) THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE. RELEASED PARTIES ARE NOT RESPONSIBLE FOR ANY UNDELIVERED E-MAILS, INCLUDING WITHOUT LIMITATION E-MAILS THAT ARE NOT RECEIVED BECAUSE OF A WINNER’S PRIVACY OR SPAM FILTER SETTINGS WHICH MAY DIVERT ANY NOTIFICATION OR OTHER E-MAIL, INCLUDING ANY WINNER NOTIFICATION E-MAIL, TO A SPAM OR JUNK FOLDER. You further understand and agree that all rights under Section 1542 of the Civil Code of California (“Section 1542”) and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. You acknowledge that Section 1542 provides that: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; therefore, such exclusions may not apply to you, please see Section 12 below.

Without limiting the foregoing, but subject to Section 12 below, the Released Parties shall not be responsible for: (a) any incomplete or inaccurate information that is caused by Sweepstakes website users, or by any of the equipment or programming associated with or utilized in the Sweepstakes, or by any technical or human error which may occur in the processing of submissions in the Sweepstakes; (b) lost, interrupted, or unavailable network, server, service provider, on-line systems, telephone networks or telephone lines, or any other connections; (c) the theft, destruction, loss or unauthorized access to, or alteration of, Entries; (d) any problems with, or malfunctions or failures of, telephone networks or lines, computers or computer on-line systems, servers or providers, computer equipment, software, viruses or bugs; (e) garbled transmissions or miscommunications; (f) failure of any e-mail to be received by or from the Administrator for any reason, including but not limited to traffic congestion on the Internet or at any website or combination thereof or technical incompatibility; (g) damage to a user’s computer equipment (software or hardware) occasioned by participation or downloading of materials related to this Sweepstakes; (h) printing, distribution, programming or production errors, and any other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise; or (i) technical, pictorial, typographical or editorial errors or omissions contained herein.


10. GENERAL CONDITIONS
Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, determine the winners from among all non-suspect, eligible Entries received up to time of such action. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the Entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Entries. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.


11. DISPUTES
THE TERMS OF SERVICE THAT ARE INCORPORATED INTO THESE OFFICIAL RULES CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION AND JURY TRIAL WAIVER CLAUSES, WHICH ARE APPLICABLE TO ALL MEMBERS OF THE PROGRAM THAT RESIDE OUTSIDE OF THE EUROPEAN ECONOMIC AREA (“EEA”), SWITZERLAND, AND NEW ZEALAND. SOME JURISDICTIONS DO NOT ALLOW THE ABOVE RESTRICTIONS IN THE EVENT OF DISPUTE OR LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU – PLEASE SEE SECTION 12 BELOW. Subject to Section 12, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of you and the Administrator in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Texas without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.


12. ELIGIBLE NON-U.S. RESIDENTS ONLY
Country Specific Notices: If any provision of these rules is invalid under the law, rules or regulations of a particular country, it will only apply to the extent permitted and you shall not be deprived of the protection afforded to you under your own laws, rules, or regulations. In addition to the tax liability disclosures in these rules, winners are subject to abide by the income reporting and, if applicable, the payment of any taxes and withholdings due per the laws, rules and regulations of the winners’ country of residence and the existence and level of such taxes and withholdings may change over time.

For Residents of New Zealand: Where the Administrator have not complied with their obligations under the Consumer Guarantees Act 1993 they may be liable for any loss or damage resulting from the failure to comply so long as the loss or damage was reasonably foreseeable. The Administrator may also be liable for loss or damage to your property that results from intentional conduct or the gross negligence of staff or employees of the Administrator. Other than as described in this paragraph, the Administrator are not liable to you for any losses, damage, costs, distress or inconvenience suffered by you or any other person; or loss or damage to any property; or for any losses, damages, costs, distress or inconvenience as a result of a service disruption. The Administrator will try and solve any disagreements with you quickly and efficiently. If you are not happy with the way the Administrator deals with any disagreement you and the Administrator may agree to refer the matter to arbitration, but you and the Administrator are not restricted from bringing court proceedings in your country or elsewhere. Local mandatory laws may be applied.


13. ENTRANT’S PERSONAL INFORMATION
Sponsor and its authorized agents will collect, use, disclose and otherwise process the personal information you provide when you enter the Sweepstakes as set forth in the Sponsor’s Online Privacy Notice: www.dell.com/privacy, and in particular for the purposes of administering the Sweepstakes, Prize fulfillment, recordkeeping and for compliance with our legal obligations in all jurisdictions in which the Sweepstakes is available. By entering the Sweepstakes, you understand and acknowledge that your personal information will be used for these purposes and as set forth in our Online Privacy Notice. You also have certain rights regarding our processing of your personal data under certain circumstances (which may include the rights of access, portability, correction, deletion, objection and restriction); for information about your rights and how to exercise them please consult our Online Privacy Notice or contact us at: www.dell.com/privacy

Transfers to the United States. The Sweepstakes websites and the personal information you submit (as detailed in these Official Rules) will be hosted and processed, for the purposes described above, on servers in the United States, where the Administrator is located, and the personal information you provide may therefore also be subject to the laws of the United States, which may not provide the same type or level of data protection as the laws in your country. We take steps to ensure that personal data transferred outside your home jurisdiction is subject to adequate safeguards as set forth in our Online Privacy Notice (to request information about these safeguards or privacy practices, contact us as set forth in the Online Privacy Notice: www.dell.com/privacy. By entering into the Sweepstakes you acknowledge and agree to your information being treated as per the above mentioned Online Privacy Notice and to it being transferred to the United States.

Users outside the European Economic Area and Switzerland: By entering the Sweepstakes, you acknowledge that you understand and agree to our Online Privacy Notice. By accepting a Prize, each winner agrees to Sponsor’s use of his/her name, city/state/province of residence, picture, biographical information, statements, voice and likeness in any advertising and publicity Sponsor may conduct relating to the Sweepstakes in any media or format, whether now known or hereafter developed, including but not limited to the World Wide Web, at any time or times in perpetuity, without further compensation or notice, except where prohibited by law. Aggregate and anonymized Sweepstakes winner information may be used by the Sponsor to communicate about the Sweepstakes to its retailers and distributors.

By participating in this Sweepstakes, You consent for Sponsor and Administrator to obtain, use, and transfer Your name, address, email and other details for prize fulfillment purposes and marketing, advertising and other commercial purposes as set forth in Sponsor’s Privacy Statement available at www.dell.com/privacyand Administrator’s Privacy Statement at https://www.bazaarvoice.com/legal/privacy-policy/
