    EMC Announces Acquisition of Voyence

Leading Network Change and Configuration Management Software Extends EM' IT Service Visibility, Control, and Compliance Solution

    Hopkinton, Mass. - October 30, 2007 -

EMC Corporation (NYSE: EMC), the world leader in information infrastructure solutions, today announced that it has acquired privately-held Voyence – a leading provider of network configuration and change management solutions that automate critical change, compliance and activation processes.
The acquisition complements and extends EMC’s position in the rapidly-emerging IT Service Management marketplace.  The agreement immediately advances EMC’s solution for managing IT service delivery, providing dramatic new capabilities in network compliance, serviceability and security for end-to-end visibility and control across complex, multi-vendor enterprise and service provider network infrastructures.  The announcement is not expected to have a material impact on revenues or EPS for 2007.

Chris Gahagan, EMC’s Senior Vice President, Resource Management Software, said, “As we continue to build on the success of our Smarts model based management technology – as well as the technology leadership of EMC ControlCenter – we are well positioned to take advantage of Voyence’s cutting-edge capabilities.  EMC’s leadership in cross-domain incident and problem management will be combined with Voyence’s network change and configuration management to provide premier closed-loop orchestration, enabling customers to address the complexities associated with intersection of problem and change management.”

Voyence’s core software, VoyenceControl, helps companies drive down operational costs, increase availability, improve security, and demonstrate regulatory compliance.  It is the only network configuration and change management solution based on a multi-tiered architecture that can effectively manage tens of thousands of devices across multi-vendor network infrastructures.  In addition to its continued value as a standalone product, Voyence’s existing integration with EMC Smarts enables customers to integrate network configuration change events detected by VoyenceControl into Smarts to resolve issues caused by misconfigurations.  Furthermore, to close the loop, Smarts users can directly access VoyenceControl’s rich configuration database and launch remediation procedures from the Smarts interface.

The software recognizes ITIL as the best methodology for achieving visibility and control to ensure the reliability of IT-based business services.  VoyenceControl provides an ITIL-framework compatible network change, configuration and release management system to meet those needs.  Additionally, as the network is the gateway to an enterprise’s digital information assets, the software analyzes network device security compliance and ensures every device is configured with the most recent security recommendations and software patches.  VoyenceControl effectively reduces the time it takes IT teams to update every device’s security profile from minutes per device to minutes for the entire network.

“The combination of EMC and Voyence is a great fit for our customers, employees and partners,” said Susan Nash, Voyence President and CEO.  “We share a common vision about the increasing importance of compliance, security and change management in both enterprise and service provider networks, which every day are becoming more dynamic and business critical.  With over 70 percent of service impacting problems caused by mis-configured devices, customers are automating manual change processes and realizing significant improvements in availability, security and compliance.  Together with EMC, Voyence now has the resources to realize the full potential of our technology, and bring a broader set of products to a larger customer base much faster.”

Voyence will be fully integrated into EMC’s Resource Management Software business unit, offering network change and configuration management solutions to help customers automate their data center operations.  With a unique set of products enabling closed-loop automation, EMC’s products conduct comprehensive discovery, compliance, analysis, automation and visualization across the IT infrastructure.  This automation process enables companies to discover what IT resources they have, check for compliance to policies, isolate root-cause problems, and immediately fix any issues.  Leveraging this model-based, intelligent software, customers are now able to take a service-centric approach to IT management and gain insight into how their information infrastructures support key business services.
